1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Nuyzo Technologies, LLC ("Nuyzo Technologies," "we," "our," or "us"), a Texas limited liability company and parent entity of Nuyzo (family scheduling platform) and Nuyzo Networks (web hosting and development services). These Terms govern your use of the Nuyzo platform available at nuyzo.app and the Nuyzo mobile application (collectively, the "Platform").
By accessing or using the Platform, you confirm that you are at least 13 years of age, have the legal capacity to enter into these Terms, and agree to be bound by them. If you are between 13 and 17 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
If you are using Nuyzo on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Nuyzo is a family coordination and scheduling platform that enables extended family groups ("Clans") to:
• Share and manage family calendars and events
• Build and maintain digital family trees
• Plan and coordinate family trips
• Communicate through family forums and messaging
• Track personal PTO and work schedules
• Manage household privacy within broader clan structures
We reserve the right to modify, suspend, or discontinue any feature or the Platform as a whole at any time with reasonable notice.
3. Account Registration and Security
3.1 Account Creation
To use most Platform features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials. You agree to:
• Use a strong, unique password for your Nuyzo account
• Not share your login credentials with any other person
• Immediately notify us at support@nuyzo.app if you suspect unauthorized access to your account
• Be responsible for all activity that occurs under your account
Nuyzo will not be liable for losses caused by unauthorized use of your account where you have failed to maintain adequate security.
3.3 One Account Per Person
Each person may maintain only one Nuyzo account. Creating multiple accounts to circumvent bans, restrictions, or subscription limits is prohibited.
4. Subscriptions, Billing, and Free Trial
4.1 Free Individual Accounts
Individual accounts are free forever and include access to personal calendar, PTO tracker, and the ability to join any clan you are invited to. No credit card is required for individual accounts.
4.2 Clan Subscription Plans
Creating and administering a family clan requires a paid subscription. Current plans are:
• Starter: $4.99/month per clan — up to 20 members, up to 5 households
• Family: $9.99/month per clan — up to 50 members, up to 15 households
• Extended: $19.99/month per clan — up to 150 members, unlimited households
• Grand Clan: $34.99/month per clan — up to 300 members, unlimited households, dedicated support
4.3 Household Plan
The Household Plan add-on is $2.99/month per household and provides private household calendar and multi-clan affiliation. The Household Plan may be covered at no additional charge for members of eligible paid clan plans. The clan admin's plan terms govern whether coverage applies.
4.4 Free Trial
All new paid clan subscriptions include a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, you must provide payment information to continue using paid clan features. We will notify you by email before your trial expires.
If you do not provide payment before the trial ends, your clan will be downgraded and clan-specific features will become inaccessible until payment is provided. Member data is retained for 30 days before permanent deletion.
4.5 Billing
Subscriptions are billed monthly on the date you started your paid subscription. All billing is processed securely through Stripe. By providing payment information, you authorize Nuyzo to charge your payment method for the applicable subscription fees.
Subscription fees are non-refundable except as required by applicable law or as expressly stated in these Terms.
4.6 Price Changes
We reserve the right to change subscription prices. We will provide at least 30 days' advance notice of any price increases via email to your registered address. Your continued use of the Platform after the price change takes effect constitutes agreement to the new price.
4.7 Cancellation
You may cancel your clan subscription at any time through your account settings or by contacting support@nuyzo.app. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the paid period. No partial refunds are provided for unused portions of a subscription period.
4.8 Loyalty Discount
Clan administrators who manage multiple clans are automatically eligible for a loyalty discount. Discount amounts and eligibility criteria are published in the Platform and subject to change with 30 days' notice.
5. Clan Structure, Roles, and Responsibilities
5.1 Clan Administrator
The person who creates a clan becomes the Clan Administrator. The Clan Administrator is responsible for:
• Paying the clan subscription fee
• Managing clan membership including inviting and removing members
• Setting clan privacy settings and access controls
• Ensuring all clan members agree to these Terms
• Ensuring appropriate parental consent exists for minor members
• Moderating clan forum content
5.2 Clan Members
Clan members may access shared clan features as determined by the Clan Administrator. Members acknowledge that the Clan Administrator has visibility into their clan-level activity.
5.3 Household Privacy
Household-level data is private to household members by default. Clan Administrators do not have automatic access to private household calendars. Members may choose to share household events with the broader clan on an event-by-event basis.
5.4 Leaving a Clan
Members may leave a clan at any time through their account settings. Upon leaving, your contributions to the clan calendar, forum, and family tree remain visible to remaining clan members unless you specifically request deletion of your content prior to leaving.
6. Acceptable Use Policy
6.1 Permitted Uses
You may use the Platform for lawful family coordination, scheduling, communication, and the features described in Section 2.
6.2 Prohibited Conduct
You agree not to:
• Use the Platform if you are under 13 years of age
• Impersonate any person or entity or misrepresent your affiliation
• Upload, post, or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene
• Upload content that infringes any third-party intellectual property rights
• Use the Platform to harass, bully, or intimidate other users including family members
• Attempt to gain unauthorized access to any part of the Platform or other users' accounts
• Use automated tools, bots, or scrapers to access the Platform
• Interfere with or disrupt the Platform's infrastructure or servers
• Use the Platform for commercial solicitation or spam
• Circumvent any technical measures we use to protect the Platform
• Share your account with others or allow others to use your account
6.3 Content Standards
All content you post must be appropriate for a family audience. We reserve the right to remove content that violates these standards and to terminate accounts of repeat violators.
6.4 Reporting Violations
Report violations of these Terms or content concerns to support@nuyzo.app. We will investigate and take appropriate action.
7. User Content
7.1 Your Content
You retain ownership of content you create on the Platform ("User Content") including calendar entries, family tree data, forum posts, and trip plans.
7.2 License to Nuyzo
By posting User Content, you grant Nuyzo a limited, non-exclusive, royalty-free license to store, display, and transmit your User Content solely for the purpose of operating and providing the Platform. We do not use your User Content for advertising or sell it to third parties.
7.3 Content Shared with Clan Members
When you share content with your clan, you grant other clan members the right to view that content within the Platform. You are responsible for what you choose to share.
7.4 Deletion of Content
You may delete your User Content at any time. Deletion is permanent and cannot be undone. Note that if content has been viewed or shared by clan members, we cannot control cached or saved copies they may have retained.
8. Intellectual Property
The Platform, including its design, code, features, and branding (the Nuyzo name, logo, and circuit tree mark), is owned by Nuyzo Technologies, LLC and protected by copyright, trademark, and other intellectual property laws. The Nuyzo Technologies, Nuyzo, and Nuyzo Networks names and marks are proprietary to Nuyzo Technologies, LLC.
These Terms do not grant you any right to use Nuyzo's trademarks, logos, or other brand elements without our express written permission.
9. Third-Party Services and Integrations
The Platform integrates with third-party services including Google (sign-in), Stripe (payments), and Supabase (infrastructure). Your use of these third-party services is governed by their respective terms and privacy policies. Nuyzo is not responsible for the practices of these third parties.
10. Disclaimers and Limitation of Liability
10.1 Service Availability
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
10.2 Family Disputes
Nuyzo is a technology platform and is not responsible for disputes, conflicts, or harms arising between family members who use the Platform. We do not mediate family disputes and are not liable for emotional distress, relationship damage, or other harms resulting from family interactions on the Platform.
10.3 Data Loss
While we implement robust data backup procedures, we are not liable for data loss resulting from technical failures, user error, or circumstances beyond our reasonable control. We recommend users maintain their own copies of critical family information.
10.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUYZO'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO NUYZO IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
11. Indemnification
You agree to indemnify and hold harmless Nuyzo, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your User Content, your violation of these Terms, or your violation of any third-party rights.
12. Dispute Resolution
12.1 Informal Resolution
Before filing any formal dispute, you agree to contact us at legal@nuyzo.app and attempt to resolve the matter informally. We will make good-faith efforts to resolve disputes within 30 days.
12.2 Arbitration
If informal resolution fails, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association. Arbitration will be conducted on an individual basis. You waive any right to participate in class action lawsuits or class-wide arbitration.
12.3 Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved in the state or federal courts located in Bexar County, Texas.
12.4 Exception
Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.
13. Termination
13.1 Termination by You
You may delete your account at any time through account settings. Deletion of your account terminates these Terms between us, subject to any provisions that survive termination.
13.2 Termination by Nuyzo
We reserve the right to suspend or terminate your account, with or without notice, for:
• Violation of these Terms or our Acceptable Use Policy
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity (accounts inactive for more than 24 consecutive months)
• Non-payment of subscription fees
13.3 Effect of Termination
Upon termination, your right to use the Platform ceases immediately. We will retain your data for 30 days post-termination before permanent deletion, except as required by law.
13.4 Survival
Sections relating to intellectual property, disclaimer, limitation of liability, indemnification, and dispute resolution survive termination.
14. Changes to These Terms
We may update these Terms periodically. We will provide notice of material changes by:
• Sending an email to your registered email address at least 14 days before changes take effect
• Displaying a notice within the Platform
Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance. If you do not agree to the changes, you must stop using the Platform and may delete your account before the effective date.
15. General Provisions
• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Nuyzo regarding the Platform
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force
• Waiver: Failure to enforce any provision does not constitute a waiver of our right to enforce it later
• Assignment: You may not assign your rights under these Terms. We may assign ours in connection with a merger or acquisition
• Force Majeure: We are not liable for failures caused by circumstances beyond our reasonable control
